Closely Held Company Disputes

The Firm has handled numerous disputes concerning closely held and family-owned businesses, including, for example, the following:

  • We represented the minority partner in a closely held health foods company in New York pressing various minority and shareholder oppression claims.
  • We defended family members against claims of fraud arising out of a family partnership dispute over the control and operation of a nine-figure family-owned business.
  • We represented a minority partner in a privately held real estate business alleging that the majority owners were engaging in a campaign of oppression.
  • We represented a woman who had started a home-based business in 1965 with her boyfriend, using a pre-existing corporate shell formed by the boyfriend. In 1987, after the couple had grown the business into a multi-million-dollar brand, but with the personal relationship fading, the boyfriend disavowed the client’s ownership interest. After several other law firms had failed to advance the case, we appeared for the plaintiff, concluded discovery, and fended off the defendant’s summary judgment motion triggering a high-seven-figure settlement on the eve of trial.
  • We represented an international coffee broker in a dispute with a partner over a closely held venture to import and distribute rare coffees.
  • We were lead trial counsel defending a premier New York City firm of architects in a dispute with certain departing partners over their capital account payouts.
